    Please read these terms carefully before using Spirehub AI Agent. By accessing or using our platform, you agree to be bound by these terms.

    Agreement to Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Spirehub Softwares ("Company", "we", "us", or "our"), governing your access to and use of the Spirehub AI Agent platform.

    By registering for an account, clicking "I agree", or otherwise accessing or using Spirehub AI Agent, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

    If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

    These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the Indian Contract Act, 1872.

    Description of Service

    Spirehub AI Agent is an AI-powered chatbot and customer engagement platform that enables businesses to deploy intelligent chat agents on their websites. The Service includes:

    • AI chatbot widget for website integration via a single script tag
    • Knowledge base management for training the AI on your content
    • Lead capture and CRM integration features
    • Human agent takeover and live support ticket management
    • Dashboard analytics and reporting
    • API access for custom integrations

    We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable prior notice to registered users where practicable.

    Account Registration

    Eligibility

    You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use Spirehub AI Agent. By registering, you represent and warrant that you meet these requirements.

    Account Security

    • You are responsible for maintaining the confidentiality of your login credentials
    • You must immediately notify us of any unauthorised use of your account
    • You are responsible for all activities that occur under your account
    • Do not share your account credentials with any third party
    • We are not liable for losses caused by unauthorised account access due to your negligence

    Accurate Information

    You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts with inaccurate information.

    Acceptable Use

    You agree to use Spirehub AI Agent only for lawful business purposes. You must:

    • Comply with all applicable Indian laws, regulations, and these Terms
    • Ensure your use of the Service does not violate any third-party rights
    • Obtain all necessary consents from your website visitors before deploying the chatbot
    • Display adequate privacy notices to your end users as required by DPDP Act, 2023
    • Use the Service only for legitimate business communication and customer support
    • Ensure the chatbot content you configure is accurate and not misleading

    Prohibited Activities

    You must not use Spirehub AI Agent for any of the following:

    • Any activity that violates Indian law, including the IT Act 2000, DPDP Act 2023, or any other applicable regulation
    • Collecting personal data without proper consent or disclosures
    • Impersonating any person, entity, or brand you are not authorised to represent
    • Sending unsolicited communications (spam) or operating phishing schemes
    • Uploading malicious code, malware, or attempting to compromise platform security
    • Attempting to reverse-engineer, decompile, or extract source code of the platform
    • Reselling or sublicensing the Service without our express written consent
    • Using the Service to harass, harm, or discriminate against any individual
    • Storing or processing sensitive personal data (financial credentials, passwords) through the chatbot without prior written approval
    • Violating any third-party intellectual property or proprietary rights
    Violation of these prohibitions may result in immediate account termination and may expose you to civil or criminal liability under applicable Indian law.

    Intellectual Property

    Our IP

    Spirehub AI Agent, including all software, AI models, designs, trademarks, and platform content, is the exclusive property of Spirehub Softwares or its licensors and is protected under the Copyright Act, 1957 and other applicable Indian IP laws. These Terms do not grant you any ownership rights in the platform.

    Your Content

    You retain all ownership rights to the content you upload to Spirehub AI Agent (knowledge base documents, chatbot configurations, etc.). By uploading content, you grant us a limited, non-exclusive, royalty-free licence to use, process, and display that content solely to provide the Service to you.

    Feedback

    Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.

    Payment & Subscriptions

    Subscription Plans

    Spirehub AI Agent is offered on a subscription basis. By selecting a paid plan, you agree to pay the applicable fees as stated on our Pricing page. All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

    Billing & Renewal

    • Subscriptions are billed in advance on a monthly or annual basis
    • Your subscription auto-renews at the end of each billing period unless cancelled
    • Payment is processed securely through Razorpay, our payment partner
    • You are responsible for keeping your payment information current

    Refunds

    Refunds are governed by our Refund & Cancellation Policy. Please review it before subscribing.

    Price Changes

    We may change subscription prices with at least 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

    Limitation of Liability

    To the maximum extent permitted by applicable Indian law, Spirehub Softwares shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service.

    Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

    We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components. The Service is provided on an "as is" and "as available" basis.

    Indemnification

    You agree to indemnify, defend, and hold harmless Spirehub Softwares, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

    • Your use of the Service in violation of these Terms
    • Your violation of any applicable law or third-party rights
    • Content you upload or configure on the platform
    • Any claims by your end users related to your deployment of the chatbot

    Termination

    By You

    You may cancel your account and terminate your use of the Service at any time through your dashboard settings. Cancellation takes effect at the end of the current billing period.

    By Us

    We reserve the right to suspend or terminate your account, with or without notice, if:

    • You breach any provision of these Terms
    • You fail to pay subscription fees when due
    • We are required to do so by law or a court order
    • Your account activity poses a security risk to the platform or other users

    Upon termination, your right to use the Service immediately ceases. We will handle your data in accordance with our Privacy Policy and applicable data retention obligations.

    Governing Law

    These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India, as applicable.

    • Digital Personal Data Protection Act, 2023

    Dispute Resolution

    Step 1 — Informal Resolution

    Before initiating formal proceedings, you agree to contact us at legal@spirehubs.com and give us 30 days to resolve the dispute informally.

    Step 2 — Arbitration

    If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English and the seat of arbitration shall be India.

    Step 3 — Courts

    Nothing in this section prevents either party from seeking injunctive or other equitable relief from a competent court.
